1. About these terms
These Terms of Service (“Terms”) govern your use of Brae Change, a variation management platform operated by Brae Labs, part of BRAE Group (“we”, “us”, “Brae Change”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.
2. Service description
Brae Change is a SaaS platform that enables UK construction contractors to log variation orders, obtain digital client approvals, track project financials, and generate professional PDF documentation. The service is provided on a subscription basis and accessed via a web browser.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or your organisation. By accepting these Terms, you confirm that you meet these requirements.
4. Your account
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify us immediately at support@braehq.co if you believe your account has been compromised.
- You are responsible for all activity that occurs under your account.
5. User responsibilities
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable laws.
- Upload or transmit content that is defamatory, fraudulent, or infringing on any third-party rights.
- Attempt to gain unauthorised access to any part of the platform or its infrastructure.
- Reverse-engineer, decompile, or attempt to extract the source code of the service.
- Use automated scripts or bots to access the service without our express written consent.
- Resell or sublicense access to the service to third parties.
You are solely responsible for the accuracy of the data you enter into the platform, including contract values, variation amounts, and client information. Brae Change is a tool — we are not responsible for disputes arising from the use of documents generated by the platform.
6. Subscription and billing
- Subscriptions are billed monthly or annually as selected at signup, in GBP (Great British Pounds).
- A 14-day free trial is available on all plans. No credit card is required to start a trial.
- After the trial period, you must enter payment details to continue using the service. Access will be restricted if payment fails.
- Prices may change with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.
7. Cancellation
You may cancel your subscription at any time from your account settings or by contacting us at support@braehq.co. Cancellation takes effect at the end of your current billing period. We do not offer partial-period refunds, except where required by law. Your data will be retained for 30 days after cancellation, after which it may be deleted.
8. Intellectual property
The Brae Change platform, including its software, design, trademarks, and content, is owned by Brae Labs and protected by intellectual property laws. You retain ownership of all data you upload or create within the platform. You grant us a limited, non-exclusive licence to store, process, and display your data solely to provide the service.
9. Limitation of liability
To the maximum extent permitted by law:
- Brae Change is provided “as is” without warranty of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
- Our total aggregate liability to you in respect of any claim shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Termination
We reserve the right to suspend or terminate your account without notice if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. In cases of suspected serious misconduct, we may retain data as evidence.
11. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to these terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date. Material changes will be communicated to active users by email with at least 14 days' notice. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
